The Canadian Indenture Investments Limited offers the possibility to participate in the financing of the company􀀁s upcoming projects by high-yielding and qualified subordinate convertible loans. For this purpose Indenture has issued this convertible loan in three versions. In total the company wants to raise up the EUR 25 Million of debt capital.

The Company
Indenture Investments Limited is a holding investing into innovative projects and companies in sustainably growing business areas. Corporate head offices are located in Toronto, Canada. The shares of Indenture are traded on the Open Market segment of the Frankfurt stock exchange since the year 2008.
Since February 2010 the company is headed by Mr. Wayne Reid, an internationally experienced manager.
The native Australian can look back on a large variety of management positions in companies from the areas banking, insurances, mining, pharmaceuticals and consumer goods. For his very successful engagement in tennis sports and his wide social engagements Wayne Reid has been awarded with the „Order Of The British empire“ (O.B.E.) by her Majesty Queen Elizabeth II. President and CEO Wayne Reid is supported by an international team of experienced manager to realize the business plans of Indenture and its investments.
Indenture Investments Limited is a so-called Incubator Company with the objective to find innovative and promising business ideas, projects or companies and to support them on their way to develop and market their products and international expansion. The support by Indenture consists of funding, project and structure consulting, providing a qualified network and international partnerships. In exchange incubators get a participation in such projects and can profit substantially in the success of the projects. In order to ensure proper implementation of the support, Indenture principally seeks to acquire the majority of the projects.
In connection with the exit, interests will be sold in trade-sales to interested third party companies or being spun-off in a going public onto the stock market of the whole division.
Four Business Divisions
In October 2008 Indenture Investments Limited had acquired SBN/American Enterprises, an American-Italian
enterprise engaged in internet radio and sound systems. In June 2009 Indenture was able to buy 80.9% of
James Denverson Corp. as its second strategic investment. With its unique and non-electric smokeless
cigarette this company is positioned in the consumer goods area. By changing and increasing management
in February 2010 Indenture has prepared the steps for the next two takeover targets which show exceptional
growth potentials. With the successful closing of the negotiations which is expected until end of March 2010
Indenture will consist of the following divisions:
Smokeless Cigarette
International production and marketing of the smokeless cigarette under the brand name James
Denverson. This division, equally headed by Wayne Reid, has signed a significant agreement with a
Polish partner in order to develop, build and finance the production of machinery and tools required
for manufacturing the smokeless cigarette. In exchange the Polish partners will be granted the
exclusive right to produce and market the product in Poland, the Czech Republic and the Baltic
States.
Music & Entertainment
Alfie Falckenbach an industry veteran, are now managing the entertainment division (incorporating
music, media & television). Having held management positions in a multitude of areas of the
entertainment industry, Falckenbach has nearly 40 years of experience in the international music
business. Whereas Falchenbach has headed companies mainly active in the production of audio and
visuals as well as the organization of concerts, festivals and events. The division plans to establish
itself as a fully integrated Multi-Media & Entertainment Company, in which sales will be driven by a
combination of sponsored television programming and new media technology such as Internet platforms. The
Entertainment division will create a so-called 360° degree business model by forming or acquiring stakes in a
diverse number of corporations active in the industry.
Internet- and Satellite Radio
The Internet radio network of AE American Enterprises Inc. (AE) and S.B.N. SPA Limited (SBN)
already generate substantial revenues and a positive cash flow. AE􀀁s contract with “Audio Brazil“ will
generate estimated yearly revenues of USD$ 15 Million for the next three years, while the usage of
the first low-orbit satellite which enables a terrestrial radio reception of SBN radio programs shall be
executed in 2010. When an additional five satellites will go into orbit, respectively in 2011 to 2013,
greatly enhanced coverage for the whole European continent will be available.
Corporate and Project Financing
Finally, Mr. Daniel Gryfe has been designated to head Indenture Investment􀀁s corporate finance
division. A SEC (Securities and Exchange Commission) licensed broker and investment banker, Gryfe
also possesses extensive experiences in the structuring and managing of financial transactions,
which we expect to be beneficial in all matters relating to projected future takeovers and sales. The
corporate finance division will carry out project financing for Indenture as well as for third party
accounts. The trading and sale of life insurance policies will be among the first ventures the division
will be engaged in.
